These Terms of Service ("Terms") constitute a legally binding agreement between you and Revela Holdings, Inc. and its telehealth subsidiary Revela Care (collectively, "Revela," "we," "us," or "our"). By creating an account, accessing, or using Revela.care or any of our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.
1. The Services
Revela provides a telehealth platform that connects patients with licensed healthcare providers for consultations, wellness evaluations, and, where clinically appropriate, the recommendation and prescription of compounded medications and wellness therapies (the "Services"). Revela operates as a management services organization ("MSO") and does not itself practice medicine. All clinical services are provided by independently licensed physicians and other healthcare professionals ("Providers") who are responsible for all clinical decisions.
Our Services currently include consultations related to men's wellness (including erectile dysfunction and hair restoration), peptide therapy, hormonal wellness, and general wellness programs. Service offerings may expand or change over time.
2. Not Emergency Medical Services
REVELA IS NOT AN EMERGENCY MEDICAL SERVICE. OUR SERVICES ARE NOT A SUBSTITUTE FOR IN-PERSON EMERGENCY CARE. IF YOU ARE EXPERIENCING A MEDICAL EMERGENCY, CALL 911 OR GO TO THE NEAREST EMERGENCY ROOM IMMEDIATELY. Do not use our platform to seek emergency medical attention. If you believe you are experiencing a life-threatening situation, contact emergency services without delay.
3. Eligibility
To use our Services, you must:
Be at least 18 years of age.
Be a resident of a U.S. state where Revela is authorized to provide Services.
Provide accurate, current, and complete information during registration and consultations.
Agree to and comply with these Terms and all applicable laws.
We reserve the right to refuse service or terminate accounts in our sole discretion, including where a Provider determines that our Services are not clinically appropriate for you.
4. Account Registration
You must create an account to access our Services. You agree to: (a) provide accurate and truthful information; (b) keep your account credentials confidential; (c) notify us immediately of any unauthorized access to your account; and (d) accept responsibility for all activity that occurs under your account. You may not create more than one account or transfer your account to another person.
5. Telehealth Services and Clinical Relationship
By using our platform, you may enter into a patient-provider relationship with an independently licensed Provider. You acknowledge that:
Providers exercise independent clinical judgment and are not employees of Revela.
Telehealth services have inherent limitations compared to in-person care, including limitations on physical examination.
A Provider may decline to treat you, may recommend in-person evaluation, or may discontinue your care if clinically indicated.
Prescriptions are issued solely at the discretion of your treating Provider based on a clinical evaluation. Revela does not guarantee that you will receive any specific prescription or treatment.
Compounded medications are prepared by licensed compounding pharmacies and are not FDA-approved drugs. Compounded formulations are customized preparations that may differ from commercially available products.
6. Subscriptions and Billing
Many of our Services are offered on a subscription basis. By subscribing, you authorize Revela to charge your payment method on a recurring basis at the then-current subscription rate. Subscription fees are billed in advance for the applicable subscription period (monthly or as otherwise specified).
Cancellation: You may cancel your subscription at any time through your account settings or by contacting [email protected]. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial periods, except as required by applicable law or as set forth in our Refund Policy.
Price Changes: We reserve the right to change subscription pricing at any time. We will provide at least 30 days' advance notice of any price increase, and your continued use of the Services after the effective date of the change constitutes your acceptance of the new price.
Failed Payments: If a payment fails, we may suspend or terminate your access to the Services until payment is resolved.
Taxes: Prices are exclusive of applicable taxes, which will be added to your invoice where required by law.
7. Prescription Medications and Pharmacy Services
If a Provider prescribes medication for you, that prescription will be transmitted to a licensed compounding pharmacy. You acknowledge that:
Prescription medications will be shipped to the address you provide. You are responsible for ensuring someone of legal age is available to receive controlled substances where required.
You are responsible for reviewing all medication information, including instructions, warnings, and contraindications.
Certain medications may not be appropriate for you based on your health history. It is your responsibility to disclose all relevant health information to your Provider.
Revela does not control the compounding pharmacy's operations. Any disputes regarding pharmacy services should be directed to the pharmacy.
8. Acceptable Use
You agree not to:
Provide false, misleading, or inaccurate health information.
Use the Services for any unlawful purpose or in violation of any applicable law or regulation.
Attempt to gain unauthorized access to any portion of our platform or systems.
Use the Services to harass, abuse, or harm another person, including our staff and Providers.
Resell, redistribute, or sublicense any prescription medications received through our Services.
Reverse engineer, decompile, or otherwise attempt to derive the source code of our platform.
9. Intellectual Property
All content, trademarks, logos, software, and other intellectual property on our platform are owned by Revela or its licensors and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in our intellectual property. You may not copy, reproduce, distribute, or create derivative works from our content without our prior written consent.
10. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. REVELA DOES NOT WARRANT ANY SPECIFIC HEALTH OUTCOMES FROM THE USE OF OUR SERVICES OR ANY MEDICATIONS PRESCRIBED THROUGH OUR PLATFORM.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REVELA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL REVELA'S TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO REVELA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON LIABILITY; IN SUCH JURISDICTIONS, THE ABOVE LIMITATIONS APPLY TO THE EXTENT PERMITTED BY LAW.
12. Indemnification
You agree to indemnify, defend, and hold harmless Revela and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your provision of inaccurate or incomplete health information; or (d) your violation of any third-party rights.
13. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS AND REQUIRES INDIVIDUAL ARBITRATION OF DISPUTES.
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court. You and Revela both waive the right to a jury trial and the right to participate in class-action litigation. You may opt out of this arbitration agreement by sending written notice to [email protected] within 30 days of first accepting these Terms.
This arbitration agreement does not apply to: (a) claims for injunctive or other equitable relief; (b) claims that are within the jurisdiction of a small claims court; or (c) claims arising from your use of medications that cause personal injury.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles. To the extent a dispute is not subject to arbitration, you consent to the exclusive jurisdiction of the federal and state courts located in Sheridan, Wyoming.
15. Changes to These Terms
We may modify these Terms at any time. For material changes, we will provide at least 30 days' notice via email or prominent notice on our website. Your continued use of the Services after the effective date of any modification constitutes your acceptance of the updated Terms.
16. Termination
We may suspend or terminate your access to the Services at any time for any reason, including your violation of these Terms, without notice or liability. You may close your account at any time by contacting [email protected]. Upon termination, all rights granted to you under these Terms will immediately cease, and we may retain your information as required by law.
